1. About These Terms

These Terms of Service ('Terms') govern your access to and use of Taskyn's services, including our website at taskyn.co.uk, discovery calls, automation setup, workflow maintenance, AI agent deployment, and any related deliverables (collectively, the 'Services').

By engaging Taskyn's Services - whether through a signed proposal, a verbal agreement, or use of our website - you ('Client') agree to these Terms. Please read them carefully.

2. Who We Are

Taskyn is an AI automation agency based in Glasgow, Scotland, providing workflow automation and AI agent services to UK small and medium-sized businesses. References to 'Taskyn', 'we', 'us', or 'our' in these Terms refer to the individual(s) operating Taskyn.

3. Our Services

Taskyn provides the following types of services, as agreed with you in a written proposal or statement of work:

  • Workflow Automation: design and deployment of n8n-based automation workflows connecting third-party platforms (such as email, WhatsApp Business, Google Calendar, and CRM systems) to automate bookings, confirmations, reminders, follow-ups, and review requests.
  • AI Agents: deployment of AI-powered task agents to handle customer enquiries, lead qualification, FAQ responses, content scheduling, and similar business tasks.
  • Custom Systems: bespoke operational tools such as client portals, internal dashboards, and CRM configurations.
  • Maintenance and Support: ongoing monitoring, updates, and modifications to live systems as agreed.

The specific scope of work, deliverables, timeline, and fees for each engagement are set out in a written proposal or order confirmation. These Terms apply to all such engagements.

4. Proposals and Acceptance

A proposal from Taskyn constitutes an offer to provide Services. An engagement begins when you confirm acceptance of a proposal in writing (including by email) or make the required upfront payment, whichever occurs first.

We reserve the right to decline any engagement at our discretion.

5. Fees and Payment

5.1 Pricing

All fees are set out in the applicable proposal. Prices are in GBP and exclusive of VAT unless stated otherwise.

5.2 Setup Fees

Where a setup or onboarding fee applies, this is due before work commences unless otherwise agreed in writing.

5.3 Recurring Fees

Monthly retainer and hosting fees are billed in advance on the same date each month. Where a minimum contract period applies (for example, a 12-month minimum on automation packages), the monthly fee remains payable for that full period even if you request early termination.

5.4 Late Payment

Invoices are due within 14 days of the invoice date unless otherwise stated. We reserve the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We may also suspend active workflows until overdue amounts are settled.

5.5 Expenses

Any third-party costs reasonably incurred on your behalf (for example, API usage fees, platform subscriptions, or hosting) will be passed through at cost with your prior agreement.

6. Your Responsibilities

To enable us to deliver the Services, you agree to:

  • Provide accurate, complete, and timely information, access credentials, and any other inputs we request.
  • Ensure you have the legal right to provide any data, content, or credentials you share with us.
  • Nominate a point of contact with authority to make decisions on your behalf.
  • Comply with the terms of service of any third-party platforms connected to your workflows (for example, WhatsApp Business API, Google Calendar, or your CRM provider).
  • Not use the Services for any unlawful purpose or in a way that could harm Taskyn or any third party.

7. Intellectual Property

7.1 Client Materials

You retain ownership of all data, content, and materials you provide to us. You grant Taskyn a licence to use them solely for the purpose of delivering your Services.

7.2 Deliverables

Once final payment for a project has been received in full, ownership of the custom workflow configurations and automation logic built specifically for you transfers to you. Taskyn retains the right to use general methods, techniques, and know-how developed during the engagement for other clients.

7.3 Taskyn IP

Any pre-existing tools, templates, code libraries, or proprietary components used to deliver the Services remain the property of Taskyn. You are granted a non-exclusive, non-transferable licence to use such components solely as part of the delivered Services during the engagement.

8. Confidentiality

Each party agrees to keep the other's confidential information (including business plans, client data, technical configurations, pricing, and credentials) strictly confidential and not to disclose it to any third party without prior written consent, except where required by law.

This obligation survives termination of the engagement for a period of three years.

9. Data Protection

Where Taskyn processes personal data on your behalf as part of the Services, we do so as a data processor acting on your instructions. A Data Processing Agreement (DPA) governs this processing and will be provided as part of your onboarding.

You confirm that you have a lawful basis to share any personal data with us and to instruct us to process it on your behalf.

10. Third-Party Platforms and APIs

Our Services rely on third-party platforms and APIs (including but not limited to n8n, the Meta platforms (Facebook, Instagram, and WhatsApp Business Platform), Google Calendar, and various CRM providers). We are not responsible for any interruption, change, or discontinuation of those platforms, nor for any costs arising from their usage limits or policy changes.

We will use reasonable efforts to notify you of material changes to third-party services that affect your workflows and to implement necessary updates within a reasonable timeframe.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Taskyn's total liability to you for any claim arising out of or in connection with the Services shall not exceed the total fees paid by you to Taskyn in the three months preceding the claim.
  • We shall not be liable for any indirect, consequential, or special loss, including loss of profit, loss of revenue, loss of business, or loss of data.
  • We are not liable for failures or delays caused by third-party platform outages, API changes, or events outside our reasonable control.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

12. Warranties and Disclaimers

Taskyn warrants that it will provide the Services with reasonable skill and care. We do not warrant that workflows or AI agents will be error-free or uninterrupted, or that they will meet any specific business outcome.

AI-generated content and automated responses should be reviewed by you before use in any regulated, sensitive, or legally binding context.

13. Suspension and Termination

13.1 By You

You may terminate an ongoing engagement by giving 30 days' written notice to team@taskyn.co.uk. Any minimum contract period that has not yet elapsed remains payable in full.

13.2 By Taskyn

We may suspend or terminate the Services immediately if you breach these Terms (including non-payment), if continuing the engagement would expose us to legal risk, or if a third-party platform disables access critical to the Services.

We may also terminate an ongoing engagement by giving 30 days' written notice without cause.

13.3 Consequences of Termination

On termination: all outstanding fees become immediately due; Taskyn will deactivate active workflows; client data held by Taskyn will be handled in accordance with the Data Deletion Policy and the applicable DPA.

14. Governing Law

These Terms are governed by the laws of Scotland. Any disputes will be subject to the exclusive jurisdiction of the Scottish courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify existing clients of any material changes by email. Continued use of the Services after the effective date of the updated Terms constitutes acceptance.
